| I'm closing an S corporation for a friend. The corporation is solely owned by one stockholder who is a dentist. Only incorporated for one year and basically has no assets. I've started to fill out form 966 (Corporate Dissolution or Liquidation). Is this the only federal form I need to file? Any other information would be appreciated as well. |

| You should also notify your State Department of Incorporations to find out what forms they want you to file. Also, don't forget that you will still need to file a final tax return for the partial year. |
